2 Terms & Conditions
Terms and Conditions for Website Design and Development Services
These terms and conditions (“Agreement”) govern the provision of website design and development services (“Services”) by Mouse Design & Technology (“Provider”) to the client (“Client”). By engaging Provider’s Services, Client agrees to be bound by these terms and conditions.
- Scope of Work:
Provider agrees to design and develop a website (“Website”) according to the specifications outlined and agreed upon with the Client. Any additional features or modifications requested by the Client may incur additional charges and will be subject to a separate agreement.
- Payment:
2.1. Client agrees to pay Provider the agreed-upon fees for the Services as outlined in the proposal or quote provided by Provider.
2.2. Payment terms are as follows: 50% upfront, 25% upon reaching a milestone, and 25% upon completion.
2.3. Invoices shall be paid by the Client within 14 days of receipt. Late payments may incur interest charges at the rate of 15% per month.
- Intellectual Property:
3.1. Upon full payment of all fees, Provider transfers ownership of the Website to the Client.
3.2. Client agrees that Provider may showcase the Website and /or designs in its portfolio and marketing materials as an example of Provider’s work.
- Client Responsibilities:
4.1. Client agrees to provide all necessary content, images, and materials required for the development of the Website in a timely manner.
4.2. Client shall promptly review and provide feedback on design mockups and prototypes provided by Provider.
4.3. Client shall designate a single point of contact for all communications with Provider regarding the Services.
- Warranty and Support:
5.1. Provider warrants that the Website will be free from defects in workmanship for a period of 30 days from the date of completion.
5.2. Provider shall provide reasonable technical support for the Website for a period of 21 days following the launch date.
- Limitation of Liability:
6.1. In no event shall either party be liable to the other for any indirect, incidental, consequential, or punitive damages arising out of or relating to this Agreement.
6.2. Provider’s liability for any direct damages shall be limited to the total amount paid by Client for the Services.
- Termination:
7.1. Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 21 days of receiving written notice of the breach.
7.2. Upon termination, Client shall pay Provider for all Services performed up to the date of termination.
- Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Australia.
By signing below, the parties acknowledge that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
3 Design Service Agreement
- Scope of Work:
Designer agrees to provide graphic design services (“Services”) to Client as outlined in the project proposal or quote provided by Designer. Any additional services or modifications requested by Client may incur additional charges and will be subject to a separate agreement.
- Payment:
2.1. Client agrees to pay Designer the agreed-upon fees for the Services as outlined in the proposal or quote provided by Designer.
2.2. Payment terms are as follows: 50% upfront, 25% upon reaching a milestone, and 25% upon completion.
2.3. Invoices shall be paid by the Client within 14 days of receipt. Late payments may incur interest charges at the rate of 15% per month.
- Ownership of Work:
3.1. Designer retains ownership of all original artwork, designs, and materials created as part of the Services, unless otherwise agreed upon in writing.
3.2. Upon full payment of all fees, Designer grants Client a non-exclusive, royalty-free license to use the final deliverables for the intended purpose outlined in the project proposal.
- Client Responsibilities:
4.1. Client agrees to provide all necessary information, materials, and feedback required for the completion of the Services in a timely manner.
4.2. Client shall promptly review and provide feedback on design concepts and drafts provided by Designer.
4.3. Client shall designate a single point of contact for all communications with Designer regarding the Services.
- Revisions:
5.1. Designer will provide Client with an opportunity to review and request revisions to the deliverables.
5.2. Client agrees that any major changes or revisions requested beyond the scope of the initial project proposal may incur additional charges.
- Confidentiality:
6.1. Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project.
6.2. Designer may showcase the completed work in their portfolio or marketing materials with Client’s permission.
- Termination:
7.1. Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within 21 days of receiving written notice of the breach.
7.2. Upon termination, Client shall pay Designer for all Services performed up to the date of termination.
